These Terms & Conditions ("Terms") govern your use of the website scalable.ltd and all products and services offered through it.

All services are provided by BFCEV Energy Solutions Private Limited ("the Company", "we", "us", "our"), a registered private limited company. Scalable is a commercial brand and operating division of BFCEV Energy Solutions Private Limited. All contracts, invoices, and legal obligations are entered into with BFCEV Energy Solutions Private Limited.

By accessing this website, submitting an inquiry, or purchasing any product or service, you agree to be bound by these Terms. If you do not agree, please do not use this website or engage our services.

IMPORTANT: Scalable's products — including Realtor Copilot Lite, Realtor Copilot Pro, and Realtor Copilot Ultra — are hybrid solutions.

Each product includes both of the following components:

Software Automation Component The use, configuration, and deployment of software tools, automation platforms, API integrations, CRM systems, AI language model integrations, SMS/email delivery platforms, and related technology to build and operate automated business workflows.

Human-Assisted Services Component Dedicated human labour including: strategy consultation, system architecture design, custom configuration, integration setup, testing, quality assurance, onboarding, post-launch monitoring, and ongoing optimisation.

These two components are inseparable. You are not purchasing standalone software. You are purchasing an integrated system that includes significant professional services.

This distinction is material to understanding pricing, refund eligibility, delivery timelines, and performance expectations. Please review the Refund Policy and the "No Guaranteed Results" section below before purchasing.

BFCEV Energy Solutions Private Limited (operating as Scalable) offers the following categories of services:

1. Realtor Copilot™ (Flagship Product) AI-powered automation systems for real estate professionals. Available in three tiers — Lite, Pro, and Ultra — each providing a defined scope of automation, follow-up sequences, CRM integration, and lead management functionality as described on the relevant product pages at scalable.ltd.

2. Conversion-Focused Websites Custom website design and development optimised for lead capture and conversion.

3. Automation & Workflow Systems CRM configuration, lead routing logic, follow-up sequence design, API integrations, and business process automation.

4. AI Integrations Configuration of AI-powered features including automated responses, lead screening, and behavioural triggers using third-party AI platforms.

5. Backend Business Systems Internal workflow design, task automation, and operational process optimisation.

The specific scope of services for each client engagement is confirmed in writing via a Service Agreement or Order Confirmation prior to work commencing.

Payment Structure Depending on the engagement, fees may include one or more of the following:

• Setup / Implementation Fee: A one-time fee charged upon engagement to cover initial system design, configuration, and deployment. This fee is non-refundable once project initiation has occurred.

• Recurring Subscription: A periodic (typically monthly) fee charged for ongoing platform access, maintenance, monitoring, and/or optimisation services. Subscriptions are billed in advance for each period.

• Project-Based Fee: A fixed fee agreed in writing for a defined scope of deliverables.

Payment Processing Payments are processed by Paddle, who acts as the Merchant of Record for all transactions. Paddle is responsible for billing, payment processing, and applicable tax collection and remittance. By completing a purchase, you also agree to Paddle's terms of service (paddle.com/legal).

Due Dates All invoices are due upon receipt unless otherwise agreed in writing. Work does not commence until payment is confirmed. BFCEV Energy Solutions Private Limited reserves the right to suspend or terminate services for overdue accounts after providing reasonable written notice.

Currency All prices are displayed and charged in USD unless otherwise stated. International clients may be subject to foreign exchange rates determined by their payment provider.

BFCEV Energy Solutions Private Limited (operating as Scalable) does not guarantee specific business outcomes, revenue increases, lead volumes, appointment booking rates, or any other performance metrics.

Our systems are designed and built according to proven frameworks and best practices. However, actual results depend on many factors outside our control, including but not limited to:

• The quality and volume of leads entering your pipeline • Market conditions and competition in your geographic area • The accuracy and completeness of information you provide • How promptly you follow up on flagged high-intent leads • Third-party platform performance (CRMs, SMS carriers, email deliverability) • How actively you use and engage with the system

Any figures, statistics, or outcomes referenced on this website (e.g., "up to X% more appointments") are illustrative estimates based on general industry data or prior client experiences. They are not guarantees or warranties of future performance.

Purchasing any Scalable product or service constitutes your acknowledgment that results are not guaranteed and that no refund will be issued on the basis of performance outcomes.

Custom Deliverables Upon receipt of full and final payment for a completed engagement, the client receives ownership rights over custom-built deliverables created specifically for that engagement (e.g., custom website code, branded templates, client-specific workflow logic).

Proprietary Assets BFCEV Energy Solutions Private Limited retains full ownership of all proprietary frameworks, methodologies, templates, design systems, automation architectures, prompt libraries, and tools used in delivering services. These assets are not transferred to the client and may not be reproduced, reverse-engineered, or used outside the scope of the engagement.

Third-Party Software Certain components of Scalable's systems rely on third-party platforms (e.g., n8n, OpenAI, Twilio, Resend, Supabase, Cal.com). Your use of these platforms is subject to their respective terms of service. BFCEV Energy Solutions Private Limited is not responsible for changes, outages, or policy updates by third-party providers.

By engaging Scalable's services, you agree to:

• Provide accurate, complete, and up-to-date information required for system setup and configuration • Respond to requests for input, approvals, or credentials within a reasonable timeframe (typically 48 business hours) • Maintain active accounts and paid subscriptions with any required third-party platforms (e.g., Twilio, CRM providers) as directed • Use the system only for lawful purposes and in compliance with applicable telecommunications, marketing, and privacy laws in your jurisdiction (including CAN-SPAM, CASL, TCPA, and any applicable provincial or state regulations) • Not attempt to reverse-engineer, copy, or resell any component of the system

Delays or failures caused by incomplete client input may affect delivery timelines. BFCEV Energy Solutions Private Limited is not liable for delays attributable to the client.

Client-Initiated Cancellation You may cancel a subscription or ongoing engagement at any time by providing written notice to purchase_hub@scalable.ltd. Cancellations take effect at the end of the current billing period. No pro-rated refunds are issued for unused portions of a paid period.

Company-Initiated Termination BFCEV Energy Solutions Private Limited reserves the right to suspend or terminate services with written notice in the following circumstances:

• Non-payment or repeated late payment • Material breach of these Terms • Use of our systems for unlawful, abusive, or deceptive purposes • Circumstances that make it impractical or unethical to continue the engagement

Upon termination, your access to any managed systems will be disabled. You will retain ownership of any custom-built assets that have been fully paid for and delivered.

To the maximum extent permitted by applicable law, BFCEV Energy Solutions Private Limited's total liability to you for any claim arising from or related to these Terms or the services provided shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

BFCEV Energy Solutions Private Limited is not liable for:

• Indirect, incidental, special, consequential, or punitive damages • Loss of revenue, profits, business opportunities, or data • Damages resulting from third-party platform outages, changes, or failures • Damages resulting from your failure to follow system usage guidelines • Any claim arising more than twelve (12) months after the relevant event

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be limited by law.

Your use of this website and services is also governed by our Privacy Policy (scalable.ltd/privacy), which is incorporated into these Terms by reference.

Data submitted through our contact forms or onboarding processes is handled in accordance with our Privacy Policy. We do not sell or rent client data to third parties.

BFCEV Energy Solutions Private Limited reserves the right to update these Terms at any time. Material changes will be communicated by updating the "Effective date" at the top of this page and, where appropriate, by notifying active clients via email.

Your continued use of our services after changes are posted constitutes acceptance of the updated Terms. If you do not agree with updated Terms, please contact us to discuss your options before your next billing cycle.

These Terms are governed by and construed in accordance with applicable law. In the event of a dispute, both parties agree to first attempt resolution through good-faith direct negotiation before pursuing any formal legal remedy.
